Article I. Mission
1.1 The World Compliance Certification Council (WCCC) is a professional organization dedicated to the certification, education, and advancement of compliance professionals worldwide. Our primary purpose is to establish and uphold the highest standards of compliance practice through accredited certification programs, ongoing education, and ethical conduct.
Article II. Prior Actions
2.1 No action or proceeding commenced before these Bylaws take effect, and no right accrued, is affected by the provisions of these Bylaws. All subsequent actions shall conform to the provisions herein.
Article III. Membership
3.1 The WCCC offers various membership categories, including Regular Members, Certified Members, Life Members, and Honorary Members. Each category includes specific rights, privileges, and obligations.
3.1.a Rights and Obligations
3.1.a.i All Regular and Certified Members have the right to speak and vote on all matters before the General Membership and may serve on Committees. 3.1.a.ii Honorary Members may speak on all matters but do not have voting rights. They may serve on Committees. 3.1.a.iii All members conducting compliance activities must adhere to the WCCC Code of Ethics and Standards of Practice. 3.1.a.iv Members must meet financial, continuing education, and other obligations to remain in good standing. 3.1.a.v Members must accurately represent their membership category and credentials.
3.2 Regular Member
3.2.a Regular Members are those who: 3.2.a.i Have graduated from an accredited compliance training program. 3.2.a.ii Are eligible for certification upon meeting WCCC requirements.
3.2.b Regular Members shall: 3.2.b.i Have voting rights but may not hold elective office. 3.2.b.ii Serve on any WCCC Committee.
3.3 Certified Member
3.3.a Certified Members are those who: 3.3.a.i Have been Regular Members for at least 24 months. 3.3.a.ii Have completed at least 200 field compliance assessments. 3.3.a.iii Have completed 60 hours of continuing education, including attending WCCC Annual Seminars. 3.3.a.iv Have earned a minimum of a Bachelor's Degree or equivalent.
3.3.b Certified Members shall: 3.3.b.i Have the right to vote and hold any elective office. 3.3.b.ii Serve as Chairs of WCCC Committees.
3.4 Life Member
3.4.a Life Members are those who: 3.4.a.i Have been nominated by another member and approved by the Board. 3.4.a.ii Have made significant contributions to WCCC and the compliance profession.
3.4.b Life Members shall: 3.4.b.i Have voting rights and may hold elective office. 3.4.b.ii Be exempt from annual membership dues.
3.5 Honorary Member
3.5.a Honorary Members are those who: 3.5.a.i Have made outstanding contributions to the compliance profession. 3.5.a.ii Have been nominated and approved by the Board.
3.5.b Honorary Members shall: 3.5.b.i Not have voting rights but may speak on matters before the membership. 3.5.b.ii Be exempt from annual membership dues.
3.6 Membership Obligations and Termination
3.6.a Membership may be terminated for: 3.6.a.i Conviction of a felony. 3.6.a.ii Violation of the WCCC Code of Ethics. 3.6.a.iii Failure to meet financial obligations. 3.6.b Members must notify the WCCC of any felony charges within 10 days.
Article IV. Certification and Standards
4.1 Certification Programs
4.1.a WCCC offers ISO 17024 accredited certification programs. 4.1.b Certification standards are established and maintained by the WCCC Certification Committee.
4.2 Use of Certification and Logo
4.2.a Members must use the WCCC certification and logo in accordance with WCCC guidelines. 4.2.b Unauthorized or misleading use of the certification and logo is prohibited.
4.3 Continuing Education
4.3.a Members must participate in ongoing education to maintain certification. 4.3.b The WCCC provides continuing education opportunities through workshops, seminars, and courses.
4.4 Scope of Practice
4.4.a Members must adhere to the scope of their certification when performing compliance assessments. 4.4.b Reports and assessments outside the certification scope are not permitted.
Article V. Board of Directors
5.1 The Board of Directors administers WCCC affairs and protects its best interests.
5.2 The Board consists of the President, President-Elect, Immediate Past President, and eight Directors.
5.3 Terms and Elections
5.3.a Directors serve two-year terms and may be re-elected. 5.3.b The President serves a one-year term, followed by a one-year term as Immediate Past President.
5.4 Vacancies and Removal
5.4.a Vacancies are filled by Board appointment. 5.4.b Board members may be removed by a two-thirds vote of the Board or membership.
Article VI. Meetings
6.1 General Membership Meetings
6.1.a The General Membership meets annually at the WCCC Annual Seminar. 6.1.b Special meetings may be called by the Board or by 10% of the voting members.
6.2 Board of Directors Meetings
6.2.a The Board meets annually and as needed. 6.2.b Special Board meetings may be called by the Immediate Past President or a majority of the Board.
Article VII. Committees
7.1 Standing Committees include Ethics, Certification, Education, and others as needed.
7.2 Committee Chairs are appointed by the President and approved by the Board.
7.3 Committees establish procedures and report to the Board.
Article VIII. Fiscal Management
8.1 The fiscal year is determined by the Board.
8.2 The Treasurer oversees financial transactions and reporting.
8.3 An annual audit is conducted by an independent CPA.
Article IX. Amendments
9.1 These Bylaws may be amended by a two-thirds vote of the Board.
9.2 Proposed amendments must be provided to the Board 30 days prior to the vote.
Article X. Parliamentary Authority
10.1 Meetings are conducted in accordance with Robert's Rules of Order.
Article XI. Ratification
11.1 These Bylaws take effect on the Effective Date and supersede all previous Bylaws.
